NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS OWNER’S REWARDS ‘SWIPE’ SWEEPSTAKES (THE “PROMOTION”).
Sponsor. The “Sponsor” of this promotion is M1 Spend, LLC, 200 N LaSalle St., Suite 800, Chicago, IL 60601. This promotion is in no way sponsored, endorsed or administered by, or associated with any company or entity eligible for Owner’s Rewards through the Owner’s Rewards Card by M1, Powered by Deserve and issued by Celtic Bank, Member FDIC (the “Card”).
Promotion Period. This promotion begins on November 22, 2021 at 12:00 am Eastern Time (“ET”), and ends on December 31, 2021 at 11:59 pm ET (the “Promotion Period”). Sponsor’s computer is the official time-keeping device for the promotion.
Eligibility. In order to be eligible, entrants must be (a) at least the age of majority in their jurisdiction of residence; and (b) a legal resident of the 50 United States (except for Florida and New York), including Washington, DC. Residents of Florida, New York and/or any U.S. territory are not allowed to participate and will not be eligible. Sponsor employees are not allowed to participate and will not be eligible. VOID WHERE PROHIBITED.
How to Enter. During the Promotion Period, an entrant may enter using one of the following two methods:
- Credit Card Entry: During the Promotion Period, an eligible entrant may enter this Promotion by using their Owner’s Rewards Card by M1 to make a Qualifying Purchase (“Credit Card Entry”). Entrant will receive one entry per Qualifying Purchase. A “Qualifying Purchase” is a purchase that has been processed and accepted by the merchant and has settled in your account, as further set forth and outlined in your Cashback Rewards Agreement. This purchase may, but not necessarily, include tips, holds, and deposits related to the qualifying purchase. In addition, Sponsor reserves the right to disqualify any entrant whose transaction is rescinded, withdrawn, not completed, or otherwise not finalized after the awarding of a prize. The entrant’s Card must remain active and in good standing through the Promotion Period and the awarding of the prizes.
- Mail-In Entry: An eligible entrant may enter this Promotion without making a purchase on their Card. To enter by mail (“Mail-In Entry” or “Mail-In Entries”), an entrant must send a slip of paper (with dimensions at least 3” x 5”) with entrant’s name, home address, phone number, and email address (“Mail-In Requirements”) by mail to Sponsor at M1 Spend LLC, 200 N LaSalle St, Suite 800, Chicago, IL 60601; and the outer mailing envelope must include “Owner’s Rewards ‘Swipe’ Sweepstakes entry”. Each Mail-In Entry must be on a separate slip of paper, and up to ten (10) Mail-In Entries per household may be submitted per Promotion Day (as defined below); however, a single household may only submit up to ten (10) Mail-In Entries per outer mailing envelope. Mail-In Entries must meet all Mail-In Requirements, be clearly hand-written and original inclusive of your hand-written signature. Additional Mail-In Entries received beyond the limits set forth above will be disqualified from this Promotion. For winner selection purposes, Mail-In Entries will be deemed made on the day they are post-marked. However, if you would like to have your Mail-In Entry eligible for a Promotion Day that falls on a day in which the United States Postal Service does not deliver mail, for example Sundays or holidays, you must additionally write on the Mail-In Entry slip of paper (i) either “Sunday” or the name of the weekday the holiday falls on (for example, you would write “Thursday” to enter a Promotion Day that fell on Thanksgiving) and (ii) the date in MM/DD/YY format of the Promotion Day you would like to enter, and your Mail-In Entry must be post-marked no later than the first business day following the requested Promotion Day. Mail-In Entries must be post-marked by the end of the Promotion Period, and received no later than seven (7) days after the close of the Promotion Period. Proof of mailing does not constitute proof of delivery.
Conditions Applicable to All Entries. Any use of robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar entry methods or agents (including, but not limited to, contest-entry services or multiple or different email addresses, identities, registrations, or logins) is prohibited and will void all entries submitted by that entrant if discovered by Sponsor. Entrants must use their own name. Sponsor reserves the right in its sole discretion to disqualify any entry at any time that in Sponsor’s opinion does not comply with these Official Rules. Sponsor is not responsible for lost, incomplete, damaged, illegible, late, invalid, unintelligible, postage-due, or misdirected entries, or for errors made by merchants or credit card processing companies, errors in mechanical transmission, unavailability of phone lines or connections, cellular phone service, or any other technical malfunctions or inability to transmit messages or entries. Received entries become the property of Sponsor and will not be returned or acknowledged.
Winner Selection. This is an at-chance Sweepstakes, and Credit Card Entry winners will be selected randomly each day throughout the Promotion Period, with each day consisting of a twenty-four (24) hour period beginning at 12:00 am ET and ending at 11:59 pm ET (“Promotion Day”). There will be at least one winning entrant each Promotion Day, but no more than fifty (50) winning entrants per Promotion Day. If a new Promotion Day begins before a winner has been designated for a prior Promotion Day (e.g., there were no eligible Credit Card Entries for the prior Promotion Day), the first eligible Credit Card Entry received in the new Promotion Day will be deemed the winner for the prior Promotion Day, and the next eligible Credit Card Entry received in the new Promotion Day will be deemed the first eligible Credit Card Entry for that new Promotion Day. Sponsor may, at its sole discretion, allocate additional bonus prizes (“Bonus Prizes”) per Promotion Day. Sponsor will not provide any notice of the addition of Bonus Prizes. Mail-In Entries will be selected based on equal (or better) odds that applied to the Credit Card Entries for each Promotion Day. To select Mail-In Entry winners, Sponsor will first allocate Mail-In Entries by their designated Promotion Days, which will be determined by the post-mark date or, if so designated on the Mail-In Entry, a particular Sunday or holiday during the Promotion Period. Sponsor will then calculate the number of Credit Card Entries on a given Promotion Day and divide that number by the total number of prizes (regular prizes and Bonus Prizes, if applicable) on that Promotion Day. Sponsor will then apply that ratio to the number of Mail-In Entries received for that Promotion Day to determine the odds of winning for each Mail-In Entry. For example, if there are 100 Credit Card Entries on a Promotion Day and four Credit Card Entry Prizes, the odds of winning for a Mail-In Entry will be, at worst, one in 25. A potential winner can be a winner (regular or Bonus Prize), whether a Credit Card Entry prize winner or Mail-In Entry prize winner, only once per Promotion Day.
Winner Notification, and Verification. Sponsor will attempt to notify the potential winners by email within one (1) to five (5) business days for Credit Card Entry winners, and within fourteen (14) to twenty (20) business days for Mail-In Entry winners, from when the eligible entry is received. If required in Sponsor’s sole discretion, each potential winner must respond to the initial winner notification attempt within five (5) business days. Sponsor is not responsible for lost, delayed, misdirected, or returned prize notifications. Awarding of prize is subject to verification of eligibility and compliance with these Official Rules. Potential prize winners may be asked to complete, sign, and return the Affidavit of Eligibility, Waiver of Liability and Publicity Release form (TN residents need not sign Publicity Release) and, if so, do so within five (5) business days of the time Sponsor sends such document to winners. By signing and returning an Affidavit of Eligibility, Waiver of Liability, and Publicity Release, winners agree to be subject to a personal background check. All activity arising out of and relating to the Promotion, including any reference to an entrant’s status as a “winner,” is subject to verification and/or auditing for compliance with the Official Rules, and by participating in the Promotion entrants agree to cooperate with Sponsor concerning such verification and/or auditing. Potential winners also may be required to provide certain tax documents. By entering or accepting the prize, each winner consents to Sponsor’s use of his or her name, photograph, likeness, voice, opinions, information, biographical information, hometown and jurisdiction of residence for publicity and promotional purposes without further compensation where permitted by law (TN residents need not so consent). If a potential winner is not in compliance with these Official Rules, if a potential winner does not respond within five (5) business days of first notification attempt (if required), if a prize notification or attempted notification is returned as undeliverable, if a potential winner is deemed ineligible for any reason, if a potential winner fails to sign and return required documents and provide required identification by the deadlines established by Sponsor, or if a potential winner declines prize offered, the prize will be forfeited and will not be awarded.
Prizes. Each winner who entered through the Credit Card Entry will receive the amount of the winning Credit Card Entry transaction (subject to the following maximum), which will be awarded in the form of a statement credit (e.g., reimbursement) to the winner’s Card statement balance; however, any such winning will only reduce your Card principal balance, and will neither eliminate your obligation to make your minimum statement balance payment when due nor advance your next payment. For example, if the winning Credit Card Entry transaction was a purchase for $400.00, the winner will receive a reimbursement to the winner’s Card statement balance of $400.00. Prizes will be awarded based on the settled transaction amounts of the Qualifying Purchase (see, Cashback Rewards Agreement), so prize amounts may not necessarily include tips, deposits, or holds. The minimum Credit Card Entry prize is $1. For example, if the Credit Card Entry transaction is $0.93, the winner will receive a prize equal to $1.00. The maximum Credit Card Entry prize is $5,000. For example, if the winning Credit Card Entry transaction is $5,058, the winner will receive a $5,000 reimbursement. Each winner who entered through the Mail-In method of entry will receive the amount of the average winning Credit Card Entry prizes awarded for that Promotion Day. For example, if there were 50 Credit Card Entry prizes awarded in a given Promotion Day, and the average amount of the prize was $67, then a Mail-In Entry winner for that Promotion Day will receive $67. Prizes awarded to Mail-In Entry winners will be awarded in the form of checks mailed to the mailing address provided by the winner in connection with the Mail-In Entry. No substitution, assignment or transfer of the prize is permitted, except by Sponsor, which has the right to substitute the prize with another of comparable or greater value. Sponsor will not replace lost or stolen prizes. Each winner is responsible for all taxes and fees associated with the receipt and/or use of the prize. All properly claimed prizes will be awarded, but in no event will more than the stated number of prizes be awarded. If production, technical, programming, or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.
Conditions of Participation. By submitting an entry for this Promotion, you agree to abide by these Official Rules, your Rewards Agreement (if a Card account holder), your Owner’s Reward Card by M1 Cardholder Agreement (if a Card account holder), and any decision Sponsor makes regarding this Promotion, which Sponsor will make in its sole discretion. Sponsor reserves the right to correct typographical, printing, or clerical errors in any Promotion-related materials and to make other changes that do not materially affect the substance of the Official Rules. Sponsor reserves the right to prohibit any entrant from participating in the Promotion if, at its sole discretion, Sponsor finds such entrant to be tampering with the entry processor, the operation(s) of the Promotion, or if such entrant shows a disregard for, or attempts to circumvent, these Official Rules, or acts: (a) in a manner the Sponsor determines to be not fair or equitable; (b) in an annoying, threatening, or harassing manner; or (c) in any other disruptive manner. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Sponsor through information technology systems in Sponsor’s control, but Sponsor shall not be obligated to consider any data or other information collected from any other source. Neither the failure of Sponsor to insist upon or enforce strict performance of any provision of these Official Rules nor the failure, delay, or omission by Sponsor in exercising any right with respect to any term of these Official Rules, will be construed as a waiver or relinquishment to any extent of Sponsor’s right to assert or rely upon any such provision or right in that or any other instance. If there is any conflict between any term of these Official Rules and any of the entry or marketing materials used in connection with the Promotion, the terms of these Official Rules will govern.
Disclaimer, Release and Limit of Liability. SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR YOUR PARTICIPATION IN THE PROMOTION. BY ENTERING THE PROMOTION, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS SPONSOR, AND ITS SUBSIDIARIES, AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES, AND PRIZE SUPPLIERS, AND EACH OF THEIR RESPECTIVE PARENTS, AFFILIATES, AND SUBSIDIARIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF PARTICIPATION IN THE PROMOTION OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION,WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS, OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR USED IN THE PROMOTION; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE PROMOTION; (4) TECHNICAL OR HUMAN ERROR THAT MAY OCCUR IN THE ADMINISTRATION OF THE PROMOTION OR THE PROCESSING OF ENTRIES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY THAT MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT’S PARTICIPATION IN THE PROMOTION OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. If Sponsor terminates the Promotion, it will determine the Credit Card Entry winner for the Promotion Day that is open at the time of termination as set forth above or, if it is not possible to choose a Credit Card Entry made after a Promotion Day begins, it will select the last valid, non-suspect Credit Card Entry received prior to the termination, provided it is able to do so. Sponsor will not select any additional Credit Card Entry winners. Sponsor will select Mail-In Entry winners for every Promotion Day up to and including the day the notice of termination is posted by random drawing from among all eligible, non-suspect entries received and designated for those Promotion Days, if it is possible to do so. Sponsor will determine number of Mail-In Entry prizes, odds of winning, and Mail-In Entry prize values by applying the methodology set forth above. If Sponsor terminates or modifies the Promotion, Sponsor will post notice on the official Promotion website.
GOVERNING LAW AND DISPUTES. ANY CONTROVERSY OR CLAIM ARISING OUT OF, OR RELATING TO, THESE OFFICIAL RULES AND THE PROMOTION (“CLAIM”) IS GOVERNED BY THIS SECTION, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF ILLINOIS, AND THE FORUM AND VENUE FOR ANY DISPUTE WILL BE IN THE COUNTY OF COOK, ILLINOIS. IF THE CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT MUST THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”).
